1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Maroc Solving ("Company," "we," "us," or "our") concerning your access to and use of our website and social media marketing and e-commerce management services.

By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our website or use our services.

2. Services Description

Maroc Solving provides the following services:

• Campaign creation, optimization, and reporting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to social media accounts, advertising platforms, and e-commerce systems
• Respond to requests for approvals, feedback, and information in a timely manner
• Ensure that all content, products, and services you promote comply with applicable laws and platform policies
• Maintain sufficient advertising budget as agreed upon
• Notify us promptly of any changes to your business that may affect our services
• Not engage in any fraudulent, illegal, or unethical business practices

4. Payment Terms

Service Fees

• Service fees will be outlined in your specific service agreement or proposal
• Payment is due according to the schedule specified in your agreement
• All fees are quoted in the currency specified in your agreement

Advertising Spend

• Advertising spend (budget for ads on platforms like Facebook, Instagram, TikTok) is separate from our service fees
• Ad spend is paid directly to the advertising platforms or through us as agreed
• Ad spend is non-refundable once ads have been run

Late Payments

Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Maroc Solving and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Content

You retain ownership of all content you provide to us. By providing content, you grant us a non-exclusive license to use, modify, and display such content as necessary to perform our services.

Work Product

Upon full payment, you will own the final deliverables created specifically for you (such as ad creatives and copy). However, we retain the right to use anonymized case studies and portfolio examples.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to business strategies, financial information, customer data, and advertising performance data.

7. Disclaimers and Limitations

No Guarantees

While we strive for excellent results, we cannot guarantee specific outcomes such as sales numbers, conversion rates, or return on investment. Digital marketing results depend on many factors beyond our control, including market conditions, competition, and product/service quality.

Platform Policies

We are not responsible for changes to advertising platform policies, algorithms, or features that may affect campaign performance. We will adapt strategies as needed but cannot guarantee consistent results across platform changes.

Limitation of Liability

To the maximum extent permitted by law, Maroc Solving shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

8. Termination

Either party may terminate the service agreement with written notice as specified in your service agreement (typically 30 days). Upon termination:

• Outstanding payments for services rendered become immediately due
• We will transfer all account access back to you
• Any ongoing ad campaigns will be paused or transferred as directed
• Confidentiality obligations will continue after termination

9. Indemnification

You agree to indemnify and hold harmless Maroc Solving, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• Content you provide that infringes intellectual property rights
• Products or services you sell that cause harm to consumers

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Morocco. Any disputes arising from these Terms or our services shall be resolved in the courts of Agadir, Morocco.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
